Terms of Use

Welcome to Lychee Accounting, a product of Accountable Partners. These Terms of Use (“Terms”) govern your access to and use of the Lychee Accounting application (the “App”) and any services provided through the App (the “Services”). By accessing or using the App, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the App.

1. Purpose of the App

Lychee Accounting is a purpose-built software application designed to help community-based organizations record, reconcile, and report on the use of donor funds. The App provides accounting tools and recordkeeping functions but is not a financial institution, does not hold or transfer funds, and does not provide financial, tax, or legal advice.

2. Eligibility

You may use the App only if you are legally capable of entering into binding contracts, and your use complies with all applicable local, national, and international laws and regulations.

3. No Banking or Financial Services

The App is not a bank, credit institution, payment processor, or financial advisor. It does not process, store, or move funds on your behalf. The App is strictly a tool to record, reconcile, and report on financial activity as/after it occurs. Users are solely responsible for all financial transactions, including those involving donor funds, and for ensuring that all entries made into the system are legal, accurate, and lawful.

4. User Responsibilities

By using the App, you agree to:

  • Use the App solely for lawful, nonprofit, or organizational accounting purposes;
  • Maintain the confidentiality of your login credentials;
  • Accurately record all financial data entered;
  • Ensure compliance with all applicable donor, regulatory, and legal requirements.

You agree not to use the App for any illegal or fraudulent activity, including—but not limited to—money laundering, terrorist financing, or unauthorized financial operations.

5. Limitation of Liability

To the fullest extent permitted by law, Lychee Accounting, Accountable Partners, their affiliates, subsidiaries, officers, directors, employees, agents, licensors, and partners shall not be liable for:

  1. Any misuse, misstatement, or fraudulent use of the App;
  2. Any unauthorized or unlawful activity conducted via the App;
  3. Any direct, indirect, incidental, consequential, or special damages, including loss of data, revenue, profits, or goodwill;
  4. Any data loss, system failure, technical interruption, breach, or corruption;
  5. Any reliance on data produced by the App as evidence of compliance or reporting accuracy.

Use of the App is at your sole risk. We do not guarantee that the App will be error-free, uninterrupted, or free of harmful components.

6. Data and Security

We take reasonable steps to secure your data, but no system is completely secure. You understand and agree that:

  • Technical errors, outages, and breaches may occur;
  • We do not guarantee the preservation, accuracy, or recoverability of your data;
  • You are responsible for exporting, backing up, and verifying your own records regularly.

7. Indemnity

You agree to indemnify, defend, and hold harmless Lychee Accounting, Accountable Partners, and their affiliates and partners from any claims, losses, damages, or expenses (including legal fees) arising out of:

  • Your misuse of the App;
  • Your violation of these Terms;
  • Your violation of any rights of another;
  • Any activity conducted under your account credentials.

8. Intellectual Property

All content, trademarks, software, and technology related to the App are the exclusive property of Accountable Partners or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the App solely for its intended purpose.

9. Termination

We reserve the right to suspend or terminate your access to the App at any time for any reason, including violation of these Terms. Upon termination, your right to use the App ceases immediately, and any stored data may be deleted

10. Modifications

We may update these Terms at any time. Your continued use of the App following the posting of revised Terms constitutes acceptance of those changes. It is your responsibility to review the Terms regularly.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Utah, United States of America. Any disputes arising from these Terms or your use of the App shall be resolved exclusively in the courts of the State of Utah, United States of America.
